The offer — $48.30 a share in cash — would hand People Inc. full ownership of one of the largest casino companies in the United States, and put a new controlling shareholder in front of gaming regulators in every state where MGM holds a licence.

What has MGM’s board actually done?

It has not accepted anything. The board has formed a special committee of directors and engaged advisers to review the June 1 proposal — the standard step when a company’s own director is also the buyer. What would a take-private mean for players?

Nothing immediate, but the licences are the choke point. MGM holds gaming licences in Nevada, New Jersey, Michigan and Massachusetts among others, and owns half of BetMGM in a joint venture with Entain. A change of control obliges regulators in each state to run a suitability review of the incoming owners before the deal can complete. Those reviews take months and are not a formality.

The consumer-protection question is what a debt-funded buyout does to compliance budgets. Responsible gambling obligations — self-exclusion, player-protection tooling, MGM’s GameSense programme — travel with the licence, not the owner. Regulators will want assurance that a leveraged balance sheet does not quietly squeeze the money spent on them, at a time when Canadian authorities are warning that problem-gambling services are already underused.

What happens next?

The committee has not published a deadline. If it agrees terms, shareholders would vote and regulators in every licensed state would need to find People Inc. suitable, realistically pushing completion into 2027. Three things are worth watching: whether the committee holds out for a higher price, whether a rival bidder surfaces now the company is in play, and how Entain responds to a new partner at BetMGM.
